Terms & Conditions

These terms govern your use of the BuildWiseOS service (the "Service"), provided by Ryan O'Connor (trading as BuildWiseOS, "we", "us", "our"). By creating an account, subscribing, or otherwise using the Service you agree to these terms.

1. The Service

BuildWiseOS is a construction estimating, quoting and procurement platform for builders. Features include AI-assisted takeoff, quotation building, materials management, and scheduling. We do not warrant that the Service will be uninterrupted, error-free, or that any AI-generated output will be free from inaccuracy — you are responsible for verifying any quantity, cost, or specification before relying on it commercially.

2. Your account

You must provide accurate account information, keep your login credentials confidential, and be responsible for all activity under your account. You must be authorised to bind your organisation if you sign up on its behalf, and be of legal age in your country of residence.

3. Acceptable use

You must not:

• use the Service for anything unlawful, fraudulent or deceptive;
• infringe intellectual-property or privacy rights of others;
• upload malware, probe our systems, or attempt to circumvent security or usage limits;
• scrape, resell, sublicense or redistribute the Service or its outputs beyond your own building business;
• reverse engineer or copy the Service.

4. Intellectual property

We retain all rights, title and interest in the Service, including its software, documentation and branding. You retain rights to the project documents, drawings, quotes and other content you upload. You grant us a limited, non-exclusive licence to host and process that content solely to provide the Service to you.

5. Payment, subscription, cancellation and refunds

Our order process, payment collection, billing, tax and invoicing are conducted by our online reseller Paddle.com Market Ltd, which acts as the Merchant of Record. Paddle handles all customer service enquiries relating to payment and returns. Subscriptions renew automatically each billing period unless cancelled. Cancellation and refund mechanics are described in our Refund Policy and Paddle's Buyer Terms.

6. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service enquiries and handles returns.

7. AI features

BuildWiseOS uses artificial intelligence to interpret drawings and specifications, propose material and labour takeoffs, and suggest quotation content. AI outputs are informational only, may contain errors, and are not professional advice. You must review, verify and take responsibility for any output before quoting a customer or ordering materials. You are responsible for the content of any prompts and inputs you provide, and for your rights in any drawings or documents you upload. Repeated infringement or misuse may result in suspension of your account.

8. Suspension and termination

We may suspend or terminate your access if you materially breach these terms, if payment fails, if there is a security or fraud risk, or if you seriously or repeatedly violate our policies. On termination your access ends; you may export your project data for a reasonable period before it is deleted or anonymised.

9. Warranties and liability

To the fullest extent permitted by law, we disclaim all implied warranties (including merchantability and fitness for a particular purpose). Our aggregate liability arising out of or relating to the Service is capped at the total fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, consequential or special damages, including loss of profits, data, or goodwill. Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited by law.

10. Indemnity

You indemnify us against any claim arising from your content, your unlawful use of the Service, or your breach of these terms.

11. Governing law and disputes

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, subject to any consumer rights that apply in your country of residence.

12. Changes

We may update these terms from time to time. Material changes will be notified via the Service or by email. Continued use after changes take effect means you accept the updated terms.
